These Terms of Use ("Terms") govern your use of this website operated by Pyth Data Association with registered office at Grabenstrasse 25, 6340 Baar, Switzerland ("Association").

By accessing, browsing, creating an account, linking a digital wallet, linking social media identifiers, or otherwise using this website and any materials presented herein (collectively, the "Site"), you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.

The Terms incorporate by reference Association's Privacy Notice and Privacy Policy, program-specific rules (if applicable), and any community guidelines, which together form the full agreement between you and Association regarding the Site.

Please note that headings are for convenience only and do not affect interpretation and "including" means "including without limitation".

Definitions

For purposes of these Terms of Use:

• "User" means any individual or entity accessing or using the Site, whether registered or unregistered. References to "User" include the plural "Users" and vice versa, unless the context requires otherwise. References to "you" refer to the individual or entity accepting these Terms.
• "Account" means the registered profile created by a User.
• "Wallet" means the public digital wallet address voluntarily linked by a User to the Account.
• "Leaderboard" means the ranking interface displaying on-chain and off-chain data as further described in Section 1.
• "Third-Party Solutions" has the meaning given in Section 10.

1. SERVICE DESCRIPTION

The Site provides access to a publicly visible Leaderboard that displays, ranks, and sorts data from external sources, including without limitation: (a) on-chain trading activity linked to public digital wallet addresses; (b) off-chain engagement and social media metrics obtained from third-party providers; and (c) any other statistical or analytical information Association may include from time to time.

The Leaderboard and all data displayed are provided for informational purposes only. Rankings have no financial, contractual, or legal effect and must not be relied upon as investment, trading, or professional advice.

Association may, at its sole discretion and without prior notice: (a) modify, update, or discontinue the Leaderboard or any of its features; (b) add, amend, or remove data sources, metrics, or ranking methodologies; (c) correct, adjust, or delete data entries where errors, inconsistencies, or inaccuracies are identified.

Association does not guarantee the accuracy, completeness, timeliness, or continuous availability of the Leaderboard or its data. Users acknowledge that rankings may be incomplete, delayed, or contain errors arising from external data sources, technical limitations, or third-party actions outside Association's control.

No User shall have any claim, entitlement, or remedy against Association arising from modifications, inaccuracies, omissions, or unavailability of the leaderboard or the data displayed therein.

2. NO ADVICE

The Leaderboard and all content available on the Site are provided solely for general informational purposes. Nothing on the Site constitutes or should be construed as investment, trading, financial, legal, or technical advice. Users should not make financial or other decisions based on the Leaderboard. Before taking any action, you should seek independent professional advice from qualified advisors.

3. USER ACCOUNT

To access certain features of the Site, you must create an Account via your Gmail address. By creating an Account, you represent and warrant that: (a) all information you provide is accurate, current, and complete; and (b) you have the authority to provide such information and to bind yourself to these Terms.

As part of the Account setup, you may provide and link: (a) a public digital wallet address, used to attribute on-chain activity to your profile; (b) social media identifiers (e.g., Twitter/X.com, Discord), used to attribute off-chain engagement data; (c) other information as may be requested by Association for the operation of the Leaderboard. All such information is provided on a voluntary basis. You may update or remove your linked data at any time through your Account settings. However, please note that certain features of the Leaderboard may not function optimally without such information. By submitting or linking this information, you expressly consent to its processing and display for the purpose of generating rankings and statistics on the Leaderboard.

You are solely responsible for: (a) maintaining the confidentiality of your login credentials; (b) restricting access to your Account; (c) all activities occurring under your Account, whether authorized by you or not. Association shall not be liable for unauthorized access resulting from your failure to safeguard your credentials.

You acknowledge and agree that the integration of your Account with third-party services (e.g., is required to provide the Leaderboard. Association has no control over and disclaims any liability for the availability, accuracy, or policies of such third-party services.

Association may, at its sole discretion, suspend, restrict, or terminate Accounts at any time. Without limiting the foregoing, such measures may be taken in particular where: (a) inaccurate, false, or misleading information has been provided; (b) manipulation, abuse, or fraudulent activity is suspected; (c) violations of these Terms occur; or (d) other circumstances arise that, in the reasonable judgment of Association, justify such action to protect the integrity of the Site, the Leaderboard, or the interests of other Users.

4. WALLETS AND BLOCKCHAIN TRANSACTIONS

In order to generate Leaderboard rankings, you may be required to provide a public digital wallet address. You acknowledge and agree that: (a) the public digital wallet address is used for the attribution of trading activity and related data to your profile, which may be sourced from publicly available blockchain information and/or from third-party service providers or trading platforms; (b) Association does not request, require, or facilitate any transaction in connection with your digital wallet; and (c) no private keys, seed phrases, or transaction authorizations are ever requested or accessed by Association.

Site does not enable or facilitate any blockchain transactions. While certain leaderboard features may update dynamically based on your submitted public digital wallet address, at no time does Association take any action on your behalf or transmit information to any blockchain network.

Association (a) does not hold, access, or control your digital wallet or any digital assets; (b) cannot initiate, reverse, or cancel transactions; and (c) is not involved in transmitting information or value across blockchain networks.

You remain solely responsible for the security of your digital wallet and for all transactions conducted through it. Please exercise vigilance when interacting with blockchain technology, as transactions are generally immutable and irreversible.

Association does not buy, sell, exchange, broker, or act as custodian of digital assets on behalf of Users. Nothing in these Terms shall be construed as obligating Association to provide such services.

5. LIMITED LICENSE

Nothing contained in these Terms of Use or the Site itself grants or will be construed to grant to you or any third party any title or interest in or any license or right to use or reproduce, any image, text, software, code, logo or service mark contained in the Site, including without limitation the names or logos of Association and its licensors. Association reserves, and will enforce to the fullest extent possible, all rights that it may have with respect to copyright and trademark ownership of all material contained in the Site. Association grants you a limited, nonexclusive license to display and otherwise use portions of the Site solely for your own private, non-commercial informational purposes only, and to print pages from the Site only in connection with that use. You may not modify, distribute, transmit, perform, reproduce, publish, license, create derivative works from, transfer or sell any text, graphics, logos and other source-identifying symbols, designs, icons, images, or other information, software or code obtained from the Site.

6. NO WARRANTY

The Site, including without limitation the Leaderboard, all data displayed thereon, and all Third-Party Solutions referenced or integrated, is provided on an "AS IS", "WITH ALL FAULTS" and "AS AVAILABLE" basis. Association and its respective officers, managers, directors, principals, agents, and employees make no representations or warranties, express or implied, regarding the accuracy, reliability, completeness, timeliness, suitability, availability, or other characteristics of any information or materials contained on or presented through the Site. Without limiting the foregoing: (a) Association disclaims any and all liability for errors, omissions, delays, or inaccuracies in Leaderboard rankings (see Section 1); (b) Association disclaims any responsibility for the availability, accuracy, or functionality of Third-Party Solutions (see Section 10). All implied warranties and conditions, including without limitation merchantability, fitness for a particular purpose, title, and non-infringement, are hereby disclaimed to the maximum extent permitted by law.

7. LIMITATION OF LIABILITY

In no event shall Association, and its respective officers, managers, directors, principals, agents and employees be liable for any claims, liabilities, losses, costs or damages, including direct, indirect, punitive, incidental, special or consequential damages, arising out of or in any way connected with (i) the use of or inability to use the Site or with any delay in using the Site, or (ii) any information and materials obtained through the Site, or (iii) otherwise arising out of the use of the Site; in any case whether based on theories arising in contract, tort, strict liability or otherwise. Such limitations apply even if Association or any of its respective officers, directors, principals, agents or employees have been advised of the possibility of damages.

Association shall not be held liable or responsible for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil disturbances, governmental action, failure of internet service providers, or interruptions of Third-Party Solutions.

To the maximum extent permitted by law, the total aggregate liability of Association under or in connection with these Terms, whether in contract, tort, or otherwise, shall be limited to CHF 100.00.

Nothing in these Terms shall limit or exclude liability for (a) death or personal injury caused by willful misconduct or gross negligence, (b) damages resulting from Association's willful misconduct or gross negligence, or (c) any liability that cannot lawfully be excluded or limited under applicable law.

8. RELEASE OF CLAIMS BETWEEN USERS

The Site and the Leaderboard are designed as a public informational display. Users acknowledge that Association does not control the accuracy of data as it relates to specific Wallets or social media identifiers beyond what is obtained from external sources. To the maximum extent permitted by law, each User agrees that Association shall not be liable for, and is hereby released from, any and all claims, demands, and liabilities arising out of or related to disputes between Users. For the avoidance of doubt, this provision does not limit any rights one User may have directly against another User.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Association and its respective officers, managers, directors, principals, agents, and employees from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your submission of false, misleading, or unlawful data to the Site; (c) your misuse of Wallet addresses, social media identifiers, or Third-Party Solutions in connection with the Site; or (d) claims by third parties resulting from your content, actions, or omissions when using the Site.

10. THIRD PARTY SOLUTIONS

This Site may reference, describe, display, or link to third-party services, decentralized applications (dApps), protocols, networks, or software tools ("Third-Party Solutions") that are independently developed, operated, and maintained by entities unaffiliated with Association. This includes but is not limited to: (i) hyperlinks or references directing users to external websites operated by third parties, (ii) visual displays of third-party names, logos, trademarks, or service marks, and (iii) textual or visual descriptions of such Third-Party Solutions. The presence of any Third-Party Solution on this Site, whether by mention, link, logo, or other means, does not constitute or imply any partnership, affiliation, endorsement, recommendation, approval, or verification by Association regarding the reliability, security, compliance, or functionality of such Third-Party Solutions. Given the experimental and rapidly evolving nature of Web3 technologies, Association makes no representations or warranties, express or implied, about the availability, accuracy, security, integrity, or legality of any Third-Party Solution. Users are solely responsible for conducting their own due diligence before interacting with any such Third-Party Solutions, including reviewing applicable terms of service, privacy policies, risk disclosures, and technical documentation. Association expressly disclaims all liability for any direct, indirect, incidental, or consequential loss, damage, or liability, including, without limitation, the loss of funds, data, access, or opportunity, arising from the use of, reliance on, or interaction with any Third-Party Solution mentioned, linked, or displayed on this Site. Association bears no responsibility for any adverse effects resulting from the modification, unavailability, malfunction, or discontinuation of Third-Party Solutions. All inquiries or concerns should be directed to the respective third-party operators or service providers.

11. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable in any jurisdiction, then such provision shall be deemed modified to the minimum extent necessary so that such provision shall no longer be held to be invalid or unenforceable and these Terms shall be interpreted so as to achieve the intent expressed herein to the greatest extent possible in the jurisdiction in question. Any such modification, invalidity or unenforceability shall be strictly limited both to such provision and to such jurisdiction.

12. AMENDMENTS

Association may amend, update, or modify these Terms at any time, with immediate effect upon publication on the Site. Association may, but is not obligated to, notify Users of material changes either (i) by publication on the Site, or (ii) by email to the Gmail address used to create the Account. Continued access or use after publication or notification constitutes acceptance of the then-current Terms.

Users acknowledge that participation in the Leaderboard is voluntary, no consideration is provided by Association, and Users may discontinue participation at any time.

13. MISCELLANEOUS

These Terms, together with the Privacy Notice and Privacy Policy and any program-specific rules or guidelines referenced herein, constitute the entire agreement between you and Association with respect to the Site.

The failure of Association to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of Association. Association may assign its rights and obligations under these Terms without restriction.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, interpretation, performance, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of Zug, Switzerland, unless mandatory law provides otherwise.
